Terms of service
This is a draft. It is an outline of what the final document will cover, not a policy in force, and it has not been reviewed by a lawyer. Nothing here creates an agreement.
A working outline, held here until the real document is written and reviewed.
This document is not in force
Nothing on this page binds anyone. What follows is the shape the finished terms have to take: the sections they need, and the question still open under each one. The text itself has to be written and reviewed before launch.
01
Accepting these terms
This section has to say what counts as agreement, who is allowed to agree, and what a reader should do if they do not.
Open: whether using the site is acceptance on its own, or whether a click at signup is required.
02
What the service does
This section has to describe the directory and the business assistants, and be plain that answers are generated and can be wrong.
Open: how strongly the AI-generated disclaimer has to be worded, and what changes on a listing nobody has claimed.
03
Accounts
This section has to cover who may hold an account, what the account holder is responsible for, and what gets an account suspended.
Open: the minimum age, and the evidence a person needs to show before an account is treated as a business owner.
04
Merchant listings
This section has to set the rules for claiming a listing, what an owner may publish through it, and how a business gets itself removed.
Open: the claim evidence standard, and the opt-out route for a business that never asked to be listed.
05
Plans and payment
This section has to cover what a paid plan costs, when it renews, how it is cancelled, and what happens when a payment fails.
Open: the refund window and the payment processor, both of which have to match what the checkout actually does.
06
Liability and warranties
This section has to state what the service does not promise and the limit on what it can be held to.
Open: every word of it. This is the section that most needs a lawyer rather than a draft.
07
Ending the agreement
This section has to cover cancelling, suspension for cause, and what happens to an account’s content once either one happens.
Open: how long a cancelled account can still export its data, and whether that lines up with the retention section in the privacy policy.
08
Governing law
This section has to name the law that governs the agreement and where a dispute is heard.
Open: the operating entity. Until that is settled, nothing here can name a law or a venue.
The privacy policy is a draft too.
